As part of purchasing any of our SEO services, a sales executive will ask that you read and sign an agreement that will be sent out to you.  Below is an example of the agreement language we use for each optimization service.  

Search Engine Optimization and Reporting Agreement

This agreement is hereby entered into between BringMeBiz Web Promotion Services (hereinafter referred to as “BMB” and ____________________________ (hereinafter referred to as “Client”).

General Overview
BMB agrees to provide Client with Search Engine Optimization and Reporting Services (hereinafter referred to as “SEO”) as described in this agreement. BMB is authorized to use the specific keywords and/or keyword phases provided by Client for development, improving the ranking of, and/or positioning the contents of the Client’s URL(s), http://www.___________________________ .______ within the following 7 search engines and/or directories: Google, Yahoo!, MSN, Ask, AOL, Altavista, and Alltheweb.

Payment Terms
Client agrees to pay BMB an upfront fee of $___________ for the SEO campaign outlined below
Fee must be paid in full prior to the start of any services to-be-provided.

Client agrees to pay BMB a monthly fee of $____________ for the SEO Maintenance Program outlined below

SEO services are intended to provide the client with preferential positioning in selected search engines and report results on an ongoing and timely basis. During the course of the selected SEO campaign, BMB will need to work with the Client as a team effort in order to successfully fulfill the selected SEO campaign. For the purposes of allowing BMB to perform all necessary services, Client agrees to provide BMB with the following:

• A minimum list of 10 keywords or relevant keyword phrases associated with Client’s website
• Authorization to use any or all of the provided keywords
• Textual content of a minimum of 30 descriptive words for each of the provided keywords/phrases
• Authorization to edit various HTML tags and on-page content throughout Client’s website as deemed necessary by BMB
• Authorization to use client logos, trademarks, website images, etc., for use in creating informational pages and any other uses as deemed necessary by BMB to fulfill SEO campaign
• Authorization to Create additional web pages for the purpose of diversifying and strengthening keyword/phrase indexing
• Additional relevant text content for any newly created pages sent in electronic format for the purpose of creating additional web pages when necessary
• Authorization to place a link to and/or information about Client’s website on a 3rd party website in an effort to strengthen link popularity of the Client’s website
• Either FTP access to Client’s website for the purpose of uploading and/or editing website files OR a Client-appointed contact who will be responsible for uploading files provided by BMB
• Availability of a Client-appointed contact to meet with a BMB project manager as outlined in the selected maintenance plan below
• Authorization to manually or electronically submit Client’s website to the 7 applicable search engines/directories as necessary
• Create reports showing rankings within the 7 applicable search engines per keyword phrase

Terms and Conditions
BMB guarantees a minimum number of top ten or top twenty listings across 7 major search engines. The guaranteed minimum varies depending upon which applicable SEO plan is purchased. Guarantees will be met within 10 months from completion date (the date the newly optimized files were published live). Generally it takes about three (3) months for most search engines to fully index a website. Once that has happened, it still takes time to gain the relevancy, popularity and ranking needed to compete on competitive keyword phrases. Guarantees will be considered met if the required number of keyword phrases reaches the required rankings at any time within the first 10 months of the SEO campaign, but not necessarily simultaneously. Generally when a keyword phrase reaches the top ten within any search engine, you can expect it to remain there for several days, weeks, or even months. Because the Internet is dynamic in nature, it makes it very unpredictable and therefore rankings may change on a daily basis. The search engines included and targeted are: Google, Yahoo!, MSN, AOL, AltaVista, Ask, and AlltheWeb. This guarantee is valid only for these search engines listed and only for keyword phrases researched and implemented by BMB.

BMB guarantees search engine rankings only. BMB makes no guarantee that a website will experience an increase in traffic and/or sales. There are many statistics that support the idea that increased search engine rankings leads to higher traffic which in turn leads to greater sales revenue. However, there are many variables beyond our control that may have influence on a website’s overall sales results such as: quality of website design and overall layout, navigation and usability, the demand for a product and/or service, and the price of a product and/or service.

All BMB services are provided on a best-efforts basis. BMB shall in no way be liable for any damages, for any cause, arising from provided services, including any lost profit, lost savings, or other incidental or consequential damages, even if another party has advised BMB of the possibility of such damages, or for any claim.
Refunds to web promotion projects are only provided in instances where the guarantee has not been met on a guaranteed service by the tenth month, as described above. In any event, all requested refunds will be handled on a case-by-case basis. There will be no refund on completed services.

Website downtime encountered during the initial 10-month SEO campaign may void the guarantee due to the chance that search engines may remove your listing if they can’t find a client’s your site.

Cloning or making a copy of your website may void the guarantee because search engines may penalize and/or ban websites for this practice.

BMB and the Client shall work together as a team. In contracting us to provide optimization services, the Client agrees to be available for scheduled consultations, inform BMB of any changes made to the website’s pages during the SEO campaign and review the provided statistics in the BMB Member’s Area on a regular basis. If the optimized pages are altered and formatted code is overwritten without our knowledge, this guarantee may be considered void. Should the optimized code be overwritten, BMB shall offer to repair/replace the altered code at a billable rate of $85 per hour. Should the Client contract BMB for this work, the guarantee will remain valid but the 10-month time table shall reset and begin again from the day the repaired pages have been placed into production. This will also extend the required maintenance contract respectively.

During the initial development phase of the SEO campaign, a BMB representative may contact you with information that will require your response. Your cooperation and response is necessary in order to complete the development of the SEO campaign in a timely manner. If BMB does not receive a response from the client within 30 days, one more attempt will be made to contact the Client. If BMB still does not receive a response from the client within an additional 30 days (60 days total), the SEO campaign will be considered “abandoned” and all payments-to-date shall be surrendered in full.

It is important and essential to the success of any SEO campaign that the optimized website pages are continually monitored and re-submitted to the applicable search engines. Client agrees to fulfill the 12-month maintenance program outlined above. If Client should fail to fulfill the 12-month maintenance program or become more than 15 days delinquent on any monthly payment due all guarantees shall be void without refund. Maintenance plans will automatically renew for an additional year unless BMB is contacted in writing by Client at least 15 days prior to the expiration of the current year’s term.

Entire Agreement
This Agreement and any attachments are the complete and exclusive agreement between the parties with respect to the subject matter hereof, superseding and replacing any and all prior agreements, communications, and understandings (both written and oral) regarding such subject matter. The terms, conditions and pricing herein this Agreement shall prevail over any contrary or inconsistent pricing represented by BMB, whether printed, posted on the Internet, or verbally discussed. This Agreement may only be modified, or any rights under it waived, by a written document executed by both parties.
